Keller Rohrback files price-fixing lawsuit against GoodRx and PBMs

Keller Rohrback L.L.P. filed two class action complaints on behalf of independent pharmacies against GoodRx and four Pharmacy Benefit Managers (PBMs) – CVS Caremark, Express Scripts, MedImpact, and Navitus. The complaint alleges that the companies engaged in a horizontal price-fixing agreement to artificially suppress pharmacy reimbursement rates and to increase fees charged to pharmacies for generic prescription medications. 

Through its “Integrated Savings Program” (ISP), GoodRx embeds its proprietary algorithms into the PBM Defendant’s own claims-processing systems. When a pharmacy submits a reimbursement request, the PBM’s system—using GoodRx’s algorithm—compares prices across competitors and determines the pharmacy’s reimbursement rate based on the lowest negotiated rate by any PBM in GoodRx’s network. As a result, independent pharmacies receive the lowest reimbursement possible on that prescription.

Through the ISP, the PBM Defendants outsource decisions on pharmacy reimbursement to GoodRx. In doing so, the PBMs effectively agree not to outbid each other on the prices they pay pharmacies for generic drugs. This setup enables Defendants to manipulate the reimbursements paid to independent pharmacies, resulting in artificially suppressed reimbursement rates. In addition, independent pharmacies are charged a fee for each prescription dispensed, which is then shared between GoodRx, the customer’s PBM, and the PBM whose negotiated rate was applied. 

The unlawful conduct at issue in the GoodRx ISP Scheme threatens the viability of independent pharmacies – an essential source of health care for millions of individuals across the country. 

The cases are Capitol Heights Pharmacy v. GoodRx, Inc., Case No. 25-cv-00849 (D. Colo.) and Melrose Pharmacy v. GoodRx, Inc., Case No. 2:25-cv-00915 (D.
